Terms of Service

Effective date: February 27, 2026

These Terms are a binding agreement between you and CWYN LLC d/b/a CWYN (“CWYN,” “we,” “us”). By purchasing or using CWYN products, you agree to these Terms.

Purchaser type definitions

Consumer purchaser: an individual buying primarily for personal, family, or household use and not mainly for business/commercial purposes.

Business purchaser: an individual or entity buying mainly for business, commercial, professional, or organizational use.

How rights differ by purchaser type

Some rights and remedies differ by purchaser type and jurisdiction. Consumer purchasers may have additional non-waivable statutory rights (including cancellation/withdrawal or mandatory remedies where applicable). Business purchasers are generally governed by these Terms and applicable commercial law.

Nothing in these Terms limits rights that cannot be waived under applicable law.

1) Company information and notices

Company: CWYN LLC (Florida limited liability company) d/b/a “CWYN”.

Notices to CWYN: Send legal notices to legal@cwyn.com (subject: “Legal Notice Intake”).

2) License and acceptable use

CWYN grants you a limited, non-exclusive, non-transferable license for internal business use. You may not resell, redistribute, or sublicense materials unless expressly authorized in writing.

3) Intellectual property

The Services, website, and all CWYN materials (including templates, documentation, checklists, and workflow files) are owned by CWYN or its licensors and are protected by intellectual property laws. Except for the limited license granted in these Terms, no rights are granted. You may not copy, modify, create derivative works from, distribute, publicly display, reverse engineer, or resell any CWYN materials except as expressly permitted in writing. CWYN and related marks are trademarks of CWYN.

4) Pricing, billing, taxes, and digital delivery

Products are delivered digitally. You are responsible for accurate purchase details and maintaining access to your delivery environment. Applicable VAT/GST/sales tax may be calculated at checkout where required by law.

5) Checkout consent and clickwrap evidence

Checkout requires an affirmative clickwrap acceptance of these Terms, the Privacy Policy, Refund Policy, and International Rights Addendum. CWYN records consent metadata (timestamp, policy versions, and order reference) as part of checkout evidence logging.

If you are a consumer purchaser, your non-waivable statutory rights remain in effect regardless of any conflicting term.

6) Marketing claims and outcomes disclaimer

Any quantified performance examples are illustrative and environment-dependent. Results vary by implementation quality, scope, data quality, and operating constraints. CWYN does not guarantee specific business outcomes.

7) No professional advice

CWYN materials are provided for informational and operational enablement purposes and do not constitute legal, tax, security, or compliance advice. You are responsible for evaluating applicability to your business and obtaining professional advice.

8) Sanctions and restricted use

You may not use CWYN in violation of export controls, sanctions laws, or prohibited end-use restrictions. CWYN may block, suspend, or cancel access where required by law or platform policy.

9) Disclaimer

Services and materials are provided “as is” and “as available,” without warranties of any kind, including merchantability, fitness for a particular purpose, and non-infringement.

10) Limitation of liability

To the fullest extent permitted by law, CWYN’s aggregate liability arising out of or relating to the Services will not exceed the greater of (a) amounts you paid to CWYN in the 12 months before the claim arose, or (b) US$100.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of incidental or consequential damages. To the extent such limitations are not permitted, portions of the Disclaimer and Limitation of Liability sections may not apply to you.

11) Indemnification

You will indemnify and hold harmless CWYN, its affiliates, and personnel from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use or misuse of the Services/materials, (b) your violation of these Terms, or (c) your violation of applicable law or third-party rights.

12) Disputes, arbitration, and governing law

NOTICE: This section includes an arbitration agreement and class action waiver that affect your legal rights. Please read carefully.

Governing law: These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

Informal resolution first: Before filing any claim, you and CWYN agree to attempt informal resolution for 30 days by written notice to legal@cwyn.com including your name, contact details, order ID (if any), and dispute summary.

Arbitration: If the dispute is not resolved informally, it will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under the AAA Consumer Arbitration Rules (or, if you are not a consumer, the AAA Commercial Arbitration Rules), as modified by this section. The arbitration may be conducted remotely by videoconference unless the arbitrator determines an in-person hearing is necessary. The seat of arbitration is Volusia County, Florida, unless you and CWYN agree otherwise.

Delegation: The arbitrator (not a court) will have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, including any claim that all or any part is void or voidable.

Fees: For eligible consumer claims, CWYN will pay arbitration filing fees beyond what you would pay to file an individual action in court, and the arbitrator may award fees and costs as allowed by applicable law.

Small claims: Either party may bring an individual action in small claims court where eligible.

Class waiver: You and CWYN waive any right to participate in class, collective, consolidated, or representative actions, and waive trial by jury to the fullest extent permitted by law.

Opt-out: You may opt out of arbitration within 30 days of purchase by emailing legal@cwyn.com with subject line “Arbitration Opt-Out” and your order ID.

Severability: If the class waiver is found unenforceable as to a particular claim, that claim must proceed in court (not arbitration), but the remainder of this arbitration agreement will remain in effect.

13) International consumer rights

See the International Consumer Rights Addendum. Non-waivable consumer rights remain in effect.

14) Subscription and auto-renewal notice

Unless explicitly labeled at checkout, CWYN offers are one-time digital purchases and do not auto-renew. If subscription billing is introduced, checkout will include recurring-price cadence, cancellation instructions, and applicable jurisdiction-specific disclosures before charge authorization.

15) Country availability

CWYN currently supports sales in selected countries. Access may be limited or unavailable in jurisdictions where legal, tax, sanctions, or platform-policy requirements are not yet met.

16) Assignment, force majeure, and other legal terms

Assignment: You may not assign these Terms without CWYN’s prior written consent. CWYN may assign these Terms in connection with a merger, acquisition, or sale of assets.

Force majeure: CWYN is not liable for delays or failures due to events beyond reasonable control (including outages, acts of government, natural disasters, and internet/service-provider failures).

Entire agreement: These Terms (and the policies referenced at checkout) are the entire agreement between you and CWYN relating to the Services.

Severability and waiver: If any provision is unenforceable, the remainder remains in effect. Failure to enforce a provision is not a waiver.

17) Changes and termination

We may suspend access for misuse and may update these Terms from time to time. Updated terms are effective when posted with a revised effective date.
